Terms for using Atmosphere Money as a payer, creator, organizer, app, or payment participant.
1. What ATM is
Atmosphere Money, also called ATM, provides payment infrastructure for AT Protocol apps. ATM helps payers, creators, organizers, developers, and apps initiate payments, manage payment records, and verify payment outcomes on the open social web.
ATM is a software and payment-broker layer. ATM is not a bank, deposit account, stored-value account, money market account, investment product, or escrow service. Payment processing is provided by third-party payment processors, including Stripe, and future payment rails may be added under separate terms or product notices.
These Terms are the main ATM agreement. Additional terms may apply depending on how you use ATM, including the Recipient Terms, Payer Terms, App Developer Terms, Ticket Terms, Privacy Policy, and Acceptable Use Policy.
2. Accounts and identity
You sign in using an AT Protocol account. Your handle, DID, profile information, OAuth grants, and public records may be used to identify you across ATM-supported apps and payment surfaces.
You are responsible for keeping your AT Protocol account and any payment account credentials secure. If you use ATM for a business, app, event, project, or organization, you confirm that you are authorized to bind that entity to these terms.
ATM is not intended for children under 13. If you are under the age of majority where you live, you may use ATM only with the permission and supervision of a parent or legal guardian who agrees to these terms and is responsible for the payment or account activity. Payment recipients must independently satisfy the processor's age and contracting requirements.
You consent to receive agreements, checkout disclosures, recurring-payment acknowledgments and reminders, receipts, security messages, and other notices electronically through the site, dashboard, an email or other contact channel you provide, an originating app, or a processor surface. You may request a paper copy or withdraw consent by contacting ATM, but withdrawal may require ATM to close or limit features that can be provided only electronically and does not affect records already delivered.
3. Payment roles
You may use ATM as a payer, creator, organizer, app operator, or more than one of those roles. A payer sends money. A creator or organizer receives money. An app originates a checkout or payment flow. ATM processes the payment through supported rails and records payment status.
Different roles may require different onboarding. Payers can use ATM without completing payout onboarding. Creators, organizers, and external apps that receive funds may need to complete payment-account onboarding, identity verification, tax setup, or other requirements requested by ATM or its payment processors.
4. Stripe Connect and payment processing
For launch, ATM uses Stripe Connect for many payments. Where ATM uses direct charges, payments are processed on the recipient creator's, organizer's, seller's, or app's connected account, and ATM may collect an application fee. Stripe provides the Stripe payment services under Stripe's own terms, including the Stripe Connected Account Agreement and Stripe Services Agreement, as applicable.
For a direct charge, the recipient named at checkout is the seller and merchant of record. When Atmosphere Money Inc. itself sells an ATM-owned or Supper-owned product, Atmosphere Money Inc. is the seller and merchant of record and the payment may instead be processed on ATM's platform account and reconciled internally. An independent creator's or seller's use of Supper does not by itself make Atmosphere Money Inc. the merchant of record.
ATM may provide embedded payment-account tools inside the ATM dashboard. Those tools are provided by Stripe or another processor and may require processor authentication or additional information.
ATM may instruct a processor to create checkout sessions, collect application fees, retrieve account status, surface embedded account components, process refunds, reflect disputes, manage subscriptions, and reconcile ledger records as needed to provide ATM and app services. ATM does not control processor network rules, bank approval decisions, payout timing, processor fees, or processor compliance requirements.
5. App-originated payments
Apps can initiate ATM checkouts. If an app originates a payment, ATM may share app-scoped payment and order information with that app so the app can provide checkout, fulfillment, customer support, fraud/risk handling, refunds, reporting, webhooks, and proof-of-payment features.
App-scoped information may include payment status, amount, currency, payment type, payer handle or guest status, customer contact details needed for fulfillment, product or ticket references, app fee fields, refund or dispute status, and proof status. Customer contact details are shared through private, app-scoped channels only, such as signed webhooks and scoped endpoints: the contact and shipping details an originating app receives, including the email address collected or confirmed at checkout, are limited to what that app's checkout collected, and are never published to public AT Protocol records. Apps do not receive unrestricted access to creators' or organizers' payment accounts, payout balances, KYC data, bank details, or payments that happened through other apps.
6. Fees, taxes, refunds, and disputes
ATM may collect an app fee or application fee configured for a payment flow. Independent apps may receive some or all of that app fee. ATM-owned apps may keep that app fee internally. Processor fees, taxes, chargeback fees, payout fees, and other costs may also apply. Checkout must show the payer's total before authorization, and recipient or app dashboards must disclose fees available to them before they enable the applicable flow.
Creators, organizers, and sellers are responsible for their own products, services, events, fulfillment, refunds, cancellations, tax obligations, and compliance with law unless ATM states otherwise in a specific product flow or applicable law assigns an obligation to ATM. Contractual allocation does not override marketplace-facilitator, deemed-seller, consumer, or other mandatory law. ATM may restrict products or jurisdictions, collect tax, or change the payment structure where ATM determines that law requires it.
At launch, ATM does not automatically calculate or collect sales tax, VAT, or similar transaction taxes for every seller. A processor tax tool may be offered only for sellers and transactions whose tax settings, registrations, product classification, and legal liability are supported. Tax tools and reports are not tax advice and do not replace registration, filing, or remittance obligations.
A recurring payment requires clear disclosure of the amount, cadence, renewal terms, and cancellation method before authorization, followed by a retainable acknowledgment. ATM provides an online way to stop supported recurring charges and sends reminders or change notices where the subscription, ATM policy, or applicable law requires them. ATM does not currently permit an app or recipient to increase the amount of an existing subscription without a separate payer-authorized flow.
A pledge is different from a completed payment. A payer may authorize ATM to save a supported card for a possible later subscription after a recipient becomes payable. No payment ledger receipt or public payment record is created merely by saving the card. A pledge may convert only under the consent, amount, cadence, timing, cancellation, eligibility, and retry terms disclosed when it is created; an expired, cancelled, terminally failed, or superseded pledge is not chargeable.
Disputes and chargebacks may be handled through the payment processor. If a payment is refunded, disputed, reversed, or cancelled, ATM may update or invalidate related public proof records, private ledger records, tickets, entitlements, subscriptions, or webhook events.
Payers remain responsible for authorized payments they initiate. Recipients remain responsible for negative balances, refunds, chargebacks, taxes, and customer obligations connected to what they sell or receive money for, unless a separate written agreement says otherwise.
7. Public AT Protocol records
Some ATM-related data is intentionally public on AT Protocol, including public profile and catalog records and, when a live checkout identifies public attestation as enabled, an ATM broker-anchored payment record and proof. A payment record may include the recipient DID, final amount and currency, payment type or cadence, a transaction identifier, timestamps, public product or entitlement references, and proof references or status. The broker proof itself is stored in ATM's public repository and cryptographically anchors the payment record.
The ATM broker record does not by itself publish a named payer. ATM does not write a payer-owned record that identifies a signed-in payer without authority tied to that payment. A payer-owned record requires the payer's authorization; a recipient-owned proof is published only when the recipient manually syncs it or has separately opted into automatic sync with a valid grant. A guest record has no payer DID. A payer or recipient record that is published is associated with the owner of the repository where it appears.
Public protocol records may be copied, indexed, cached, and read by third parties outside ATM's control. Completed payment records are durable receipts. A refund or dispute may invalidate or update a proof but ordinarily does not rewrite the historical payment record or remove copies held by third parties.
Do not put private information, passwords, payment card data, private messages, shipping details, tax IDs, legal identity documents, or other sensitive information into public AT Protocol records. ATM keeps processor identifiers and private buyer, fulfillment, and compliance data off public protocol records where ATM controls the data model.
8. Apps, products, tickets, and fulfillment
Apps may use ATM for products, subscriptions, tickets, discounts, app fees, and other payment flows. App-specific fulfillment data may stay with the app. Ticket inventory, holds, check-in records, attendee information, and private fulfillment details may be kept in ATM's private systems or the app's private systems rather than public protocol records.
ATM may suspend or disable checkout for a product, ticket, event, creator, organizer, app, or payer if ATM believes the flow is unsafe, unlawful, fraudulent, abusive, unsupported, or not ready to receive payments.
9. Prohibited activity
You may not use ATM for illegal activity, fraud, sanctions evasion, deceptive commerce, harassment, unauthorized access, payment manipulation, spam, malware, stolen payment methods, or any business or activity prohibited by ATM, Stripe, another processor, or applicable law. You must also comply with ATM's Acceptable Use Policy and Stripe's Prohibited and Restricted Businesses list where Stripe processes the payment.
ATM may rate-limit, review, suspend, remove, or block accounts, apps, checkouts, tickets, products, records, webhooks, or payment flows to protect users, connected accounts, apps, ATM, payment processors, and the AT Protocol ecosystem.
10. Availability and changes
ATM is early infrastructure. Features may change, break, be delayed, or be withdrawn. ATM may modify these terms, supported payment rails, fees, dashboard features, app contracts, lexicons, or checkout flows as the product develops.
ATM will ordinarily provide at least 30 days' advance notice of a material change through the site, dashboard, account or contact email, app communications, or another appropriate channel. ATM may make a change effective sooner when reasonably necessary for law, security, fraud prevention, processor or network requirements, or to prevent material harm. Where law or the applicable product flow requires affirmative acceptance, ATM will request it before the change applies. Otherwise, continued use after the stated effective date constitutes acceptance.
11. Disclaimers and limits
ATM is provided on an 'as is' and 'as available' basis to the fullest extent allowed by law. ATM does not promise uninterrupted service, error-free operation, payment approval, payout timing, app compatibility, or that public protocol data will always be complete or accepted by every app.
To the fullest extent allowed by law, ATM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, failed payments, app outages, protocol indexing delays, or third-party processor issues.
To the fullest extent allowed by law, ATM's total aggregate liability arising out of the services or these terms will not exceed the greater of US $500 or the ATM fees you paid to Atmosphere Money Inc. during the 12 months before the event giving rise to the claim. This cap does not limit liability that cannot lawfully be limited, including liability for ATM's fraud, willful misconduct, or gross negligence, and does not limit mandatory consumer remedies.
12. Business-user indemnity
If you use ATM as a recipient, organizer, seller, app operator, or other business user, you will defend, indemnify, and hold harmless Atmosphere Money Inc. and its directors, officers, employees, and agents from third-party claims, damages, penalties, losses, and reasonable legal fees arising from your products, services, events, content, fulfillment, tax obligations, privacy practices, infringement, unlawful conduct, breach of these terms, or unauthorized processor activity. This obligation does not apply to the extent a claim results from ATM's own breach, fraud, willful misconduct, or gross negligence, and does not apply to a consumer acting only as a payer.
13. Governing law, disputes, and notices
These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute that is not resolved informally must be brought in the state or federal courts located in New York County, New York, and each party consents to their jurisdiction. ATM does not require binding arbitration under these terms. Either party may bring an eligible claim in small-claims court.
If you are a consumer, mandatory protections of the law where you live continue to apply, and this section does not require you to waive a right or use a forum when applicable law does not permit that waiver or forum requirement.
Before filing a claim, please send a written description of the dispute and requested resolution to contact@atmosphere.money or Atmosphere Money Inc., 150 Jefferson St, Unit 3, Brooklyn, NY 11206, and allow 30 days for an informal response. This informal step is not required where it would cause a claim to expire or where emergency relief is reasonably needed.
14. Ownership, content, and feedback
ATM and its software, interfaces, branding, documentation, and service content are owned by Atmosphere Money Inc. or its licensors and are protected by intellectual-property law. Subject to these terms, ATM grants you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended purpose. These terms do not transfer ownership of ATM or grant rights to ATM trademarks.
You retain ownership of content and records you submit. You grant ATM a worldwide, non-exclusive, royalty-free license to host, cache, reproduce, format, transmit, and display that content only as reasonably needed to provide, secure, support, and improve the service and to carry out choices you make, including publication to AT Protocol. You represent that you have the rights needed to provide the content. Public protocol records may remain available through systems outside ATM even after your ATM access ends.
If you voluntarily provide feedback, you permit ATM to use it without restriction or compensation, but ATM will not publicly identify you as the source without permission.
15. Suspension, termination, and effect
You may stop using ATM at any time and may request closure of eligible ATM-specific account data through the contact page. Closure does not cancel completed payments or erase records ATM must retain for financial, tax, security, dispute, legal, or protocol-integrity reasons, and it may not remove public records controlled by a PDS or copied by others.
ATM may suspend or terminate access when reasonably necessary for a breach, fraud or abuse risk, processor or network requirement, legal obligation, security incident, nonpayment of amounts due, or discontinuation of the service. Where practical, ATM will provide notice and a chance to cure. Provisions that by their nature should survive—including payment obligations, licenses needed for retained records, ownership, disclaimers, liability limits, indemnity, dispute terms, and this section—survive termination.
16. General terms
These terms, the role-specific terms and policies they expressly incorporate, the checkout disclosures for a transaction, and any signed written agreement form the entire agreement about ATM and replace prior discussions on the same subject. If terms conflict, a signed written agreement controls, then transaction-specific disclosures, then applicable role-specific terms, then these main terms, unless a document expressly says otherwise.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions stay effective. A failure to enforce a provision is not a waiver. You may not assign these terms without ATM's written consent; ATM may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the service, subject to applicable law and notice requirements.
ATM is not responsible for delay or failure caused by events outside its reasonable control, including internet, cloud, processor, banking, card-network, AT Protocol, utility, government, labor, disaster, war, epidemic, or security events, but this does not excuse obligations that applicable law does not permit ATM to exclude.
